In accordance with Article 2 (Sales) of the UCC

The Uniform Commercial Code (UCC) is a model statute that has been adopted by every state in the United States in its entirety (except for Louisiana) (http://www.legalmatch.com/law-library/article/uniform-commercial-code-lawyers.html). The UCC is most often used to resolve contract disputes for the sale of goods (http://www.legalmatch.com/law-library/article/uniform-commercial-code-lawyers.html). When a sale of goods dispute arises, the UCC is the body of law that governs, however, a sale of goods dispute is governed only by Article 2 of the UCC and every other article in the UCC governs a different type of transaction (http://www.legalmatch.com/law-library/article/uniform-commercial-code-lawyers.html). Something is a sale if the ownership of the goods is passed from a seller to a buyer for a price (http://www.legalmatch.com/law-library/article/uniform-commercial-code-lawyers.html). Getting a loan from the bank is not a sale because noting in fact passes from seller to buyer (http://www.legalmatch.com/law-library/article/uniform-commercial-code-lawyers.html). Something is a good if the item is tangible and movable, so selling the rights to a trademark is not a sale of goods because the trademark is not tangible (http://www.legalmatch.com/law-library/article/uniform-commercial-code-lawyers.html). The sale of your home is also not a sale of goods because the home is not movable (http://www.legalmatch.com/law-library/article/uniform-commercial-code-lawyers.html).

Although the word "contract" often refers to a written document, writing is not always necessary to create a contract. An agreement may be binding on both parties even though it is oral. Some contracts, however, must be in writing under the Statute of Frauds. Most contracts are valid despite the fact that they are only oral. A few types of…...

Article Summary #2

...60% of students from ages 9-13 don’t do any physical activity out of school. Gym class requirements vary on state. Illinois is the only state to require daily PE for all class levels. Schools/communities across the country are creating programs for kids to start moving even if the state doesn’t mandate it. The reason why kids didn’t exercise in school was because they didn’t like getting dressed, getting sweaty during the day. Some PE teachers are rising to challenge of getting kids more active. Patrice Lovdahl has been teaching PE classes for 17 years stated that, “The key to keeping kids active in encouraging them to get exercise in all aspects of life.” This article is very reliable in many ways. For one, it was published by ABC news. ABC news is a very well known news cast around the world. This article was also published on September 30th, which makes it somewhat recent. I chose this topic to write about because I’m very passionate about being active and exercising. When I become a PE teacher I want to push my students to become and stay active and help them to understand that being active is important for their health no matter how old you are. If you aren’t healthy now it can affect you in the future. I believe that gym class should be required in all gym class levels in all gym class levels across the country. Article Summary 2 Film Making Accounting

...Kezrin Asfar “The Business of Making” Movies Article Summary The article, “The Business of Making Movies”, written by Mark Young, James Gong and Wima Vanderstede, describes the economical sides of making movies today. It is extremely informative and very interesting especially from the standpoint of a student accountant who loves to enjoy movies as entertainment. It starts off by putting the industry in perspective and showing the reader how complex and important to our economy and culture the industry is. The movie making industry actually has a major influence on the United States Economy, at the very beginning the authors state the motion picture industry in the U.S. is ‘one of the country’s largest exporters and exerts cultural influence worldwide’. The industry is worldwide and very competitive. About 3,000 movies made it to theatres in 2006 in the U.S., but that is less than 1% of the entire amount of movies that made it film festivals alone. Predicting what movies are going to be successful is an extremely thorough process that does not allow many ideas or movies to ever make it. And even if they do make it, sometimes movie goers just don’t appeal to it as much. There seems to be a group of major studios that have control of the market and which movies get to make into theatres. I never knew that DreamWorks, the studio that made movies like Shrek, was actually a subsidiary company from the larger studio of Paramount Pictures. These major studios seem to ultimately...

Journal Article 2

...this article is Exploring the Impact of Police Officer Educational Level on Allegations of Police Misconduct. This article was written and conducted by Jennifer Manis, Carol A. Archbold and Kimberly D. Hassell. The point of this article was for these three individuals to conduct a theory about officers and the amount of training they endured prior to being sworn in as police officers. After they conducted this theory they wanted to get their entire hypothesis and opinions together to examine the relationship between police officers’ and their education levels, the types of degrees they had, and formal and informal complaints that may have been filed against patrol officers. They believed that by increasing formal education standards and improving the quality of training, policing would become more professional and less charges and complaints would be filed against officers. As we all know this is not a good look for the police force. People rely on police officers for safety; the last thing they want to have to endure is negative behaviors from the people who are supposed to serve and protect. As police officers they have to always remember no matter what they are doing; regardless if good or bad, someone is always watching and will always have an opinion on their actions. Police officers have to lead by examples. The question at hand is simple does a four year degree or more education make a police force more successful with less complaints? According to the article,......

...Week 2 HRM 330 HW Assignment For this week homework assignment we were asked to read the case study found on page 119 and answer the three supplemental questions found below. The purpose of this paper is to evaluate Benefast Partners’ strategy. Describe what changes (if any) I would make going forward. As well as what methods I would employ to ensure that an HRIS package meets the majority of clients’ need. Benefast Partners have more than 20,000 staff members so they have greater need for efficiency. The strategy for Benefast Partners is to target a larger market, which is crucial for the firm to implement an effective and efficient system that will consider information accuracy with the aid of technology so as to simplify all the processes. In this case especially, Benefast is prone to getting sets of large data hence the need for an effective system. In the past Benefast faced the challenge of providing administrative software that meets the needs of a large marketplace. So Benefast carried out several conversations on needs analysis with colleagues from a different office. The results revealed that time processing were a major concern. The firm then sub-divided its market and strictly concentrated on the clients that fairly met stringent requirements. A system was established whose base was on clients that had easy plans to administer to. From then on, the Benefast firm then on only dealt with clients who had no multi-plans and additionally those that neither required......

...The article that I found relating to what we are learning is, Labor Market Consequences Of State Health Insurance Regulation by R. Kaestner (2002). Kaestner begins her article by explaining that in the past decade, most states in the U.S. have passed legislation that regulates issuance, content, and pricing of private group health insurance plans. She continues to explain that the purpose of this legislation is to raise the number of insured persons and ensure that people who are sick receive needed care. One major reason for implementing new legislation was the fact that there were so many uninsured people that were employed (Kaestner, 2002). According to the U.S. Census Bureau 2000, twenty-three million people between the ages of eighteen and sixty-four were employed but uninsured in the U.S. in 1987. Furthermore, that number increased throughout the late eighties (U.S. Census Bureau, 2000). Kaestner believes that the reason for so many uninsured employed people is that insurance industries refused to sell insurance to companies that are considered high-risk companies. Because of that, one out of every two employees were uninsured. Kaestner explains that to combat this, states started limiting insurance companies’ unfair practices through legislation called reform. Furthermore, Kaestner explains that another major reason that led to a change in laws and legislation was state regulated mandated health insurance benefits. She explains that in order to ensure that people still...

Article Analysis 2

...behavioral description, and sequential. The list goes from the least structured to the most structured type of interview. All of which can fall short into subjection or personal bias. In an article by Lauren A. Rivera called, Guess Who Doesn’t Fit In at Work, she discusses how cultural fit is defined and crafted in the hands of present employers. Cultural fit can now be seen as another way to create more bias within an institution. A culturally fit culture in the workplace is where similar minded people are given the job to create synergy and loyalty to fit the organization’s strategy. In the article Rivera refers to Southwest Airlines and Bridgewater Associates as examples of an effective use of cultural fit. Southwest Airlines screen, “job candidates based on their willingness to provide a wacky experience for strangers contributed to the fun environment that enabled the company’s financial success,”(1, Rivera). This means that Southwest Airline’s uniqueness is created through the use of cultural fit. They screen and choose employees that are eccentric and outgoing to boost business. As mentioned in the article, Bridgewater Associates,” seeks to distinguish itself through its pursuit of transparency and honesty, screening out potential hires who couldn’t handle criticism made good business sense,”(2, Rivera). Bridgewater Associates, filters candidates that are feelers and have a servant/herd mentality. Both companies have malleable employees that can make the company have......

...Article #2 Enhancing Nurse and Physician Collaboration in Clinical Decision Making Through High-fidelity Interdisciplinary Simulation Training By: Pamela M. Maxson, PhD, RN; Eric J. Dozois, MD; Stefan D. Holubar, MD; Diane M. Wrobleski, PhD, RN, and etc. According to McConaughey and Marshall and Manus, the Joint Commission identified communication problems as the root cause of 65% of sentinel events with 74% resulting in deaths. The communication between nurses and physicians is a very vital thing to make sure things run smoothly in a hospital. Effective collaboration between nurses and physicians has been shown to reduce morbidity and mortality rates, cost of care, and medical errors and to improve job satisfaction and retention of nursing staff (Mayo Clinic, 2011). Collaboration between nurses and physicians is a big deal for retention purposes. Patients are at risk of serious effects when exchanged information is misunderstood or misinterpreted. The need for improvement in the ability of nurses and physicians to exchange information is well known. Team-training exercises for health care professionals are considered to be highly effective tool to improve communication and team performance, especially in crisis situations (Mayo Clinic, 2011). One way to do this is high fidelity simulation training which offers a realistic and experiential environment in which learners practice response to clinical scenarios, debrief, and evaluate team performance in the absence of......
